1. Age and Eligibility

The Service is intended for use by individuals who are 18 years of age or older. If you are under 18, you must obtain the consent of a parent or legal guardian before using the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind such entity to these Terms, and the term "you" shall refer to such entity.

2. Account Registration

You are responsible for providing accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@heyhuddl.ai if you suspect any unauthorized access.

3. The Service

HeyHuddl Inc ("HeyHuddl", "we", "us") provides an AI Thought Partner that joins video calls on platforms such as Zoom, Google Meet, and Microsoft Teams to listen, reason, and contribute in real time. The Service includes meeting transcription, summary and action item generation, cross-meeting memory, an AI chat interface, a personal knowledge base for documents and notes, and calendar integration with automated meeting scheduling. By using the Service, you grant HeyHuddl the right to process audio, transcripts, documents, and meeting data solely for the purpose of providing you with the Service and improving service quality.

4. Meeting Consent and Participant Notification

You represent and warrant that you have the right to invite the AI Thought Partner to your meetings and that doing so does not violate any third-party rights or applicable laws. You are responsible for ensuring that all participants in video calls are properly informed that an AI Thought Partner is present and processing audio. Meeting hosts and participants may remove the AI Thought Partner from any meeting at any time using the same controls used to remove any other participant. HeyHuddl is not responsible for your failure to obtain required consents under applicable wiretapping, eavesdropping, or data protection laws.

5. Fair Use

You agree to use the Service in compliance with all applicable laws and in a manner that does not infringe the rights of any third party. You may not use the Service to reverse engineer or extract the source code, interfere with or disrupt the Service or its infrastructure, develop a competing product, abuse rate limits or quotas, or share account credentials with unauthorized parties. We reserve the right to suspend or terminate accounts violating these Terms.

6. Your Content

You retain all rights to the meetings, transcripts, documents, knowledge base entries, chat messages, and other content you submit to the Service ("Your Content"). You grant HeyHuddl a limited, non-exclusive, royalty-free license to host, store, process, and display Your Content solely as necessary to provide the Service. We will not sell Your Content or use it to train third-party models. With your meeting summaries, we may also send notification emails to invited attendees on your behalf.

7. Service Providers

To deliver the Service, HeyHuddl uses third-party service providers for hosting, infrastructure, authentication, AI processing, and transactional email. These providers are contractually bound to protect your data and process it only on our instructions. Enterprise customers may request a list of sub-processors and a Data Processing Addendum by contacting legal@heyhuddl.ai.

8. Payment, Subscription, and Quotas

We may offer a free tier with usage limits, which are subject to change at our discretion. Certain features may require a paid subscription. Paid subscriptions are billed in advance on a recurring basis. You may cancel at any time through your account settings, effective at the end of the current billing period. We may change pricing with at least 30 days' prior notice.

9. Ownership and Intellectual Property

All software, algorithms, AI models, designs, and related materials associated with the Service are the exclusive property of HeyHuddl Inc or its licensors. HeyHuddl grants you no ownership or other interest in the Service, except for the limited license to use it as described herein. If you provide feedback or suggestions, you grant us a royalty-free license to use that feedback without obligation to you.

10. Third-Party Platforms

The Service integrates with third-party platforms such as Zoom, Google Meet, Microsoft Teams, Google Calendar, Microsoft Outlook, and Zoom Calendar. Your use of those platforms is governed by their respective terms. We are not responsible for the availability or conduct of any third-party platform.

11. Security

HeyHuddl takes reasonable measures to protect the security of your data, including encryption in transit and access controls on stored data. However, no system can be completely secure, and we cannot guarantee absolute security. You are responsible for safeguarding your login credentials.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee the accuracy or completeness of any AI-generated content, including meeting summaries, transcriptions, memories, action items, or chat responses. You should independently verify any output before relying on it for consequential decisions.

13. Limitation of Liability

To the fullest extent permitted by law, HeyHuddl Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for all claims shall not exceed the total fees you have paid to us in the twelve months preceding the claim.

14. Termination and Data Deletion

You may stop using the Service and delete your account at any time from your settings. You may also delete your personal data while keeping your account active. Upon account deletion, your data is permanently removed within 30 days, except where retention is required by law. We may suspend or terminate your access at any time for any violation of these Terms. Upon termination, your right to use the Service ceases immediately.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of changes by updating the "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance.

These Terms constitute the entire agreement between you and HeyHuddl Inc with respect to the Service and supersede all prior agreements and understandings. If any provision is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
